1. Acceptance of Terms

Welcome to PetsNCompanions ("Platform," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PetsNCompanions governing your access to and use of our website, mobile application, and related services (collectively, the "Services").

By accessing, registering for, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not access or use our Services.

If you are using the Services on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Definitions

• Platform

  PetsNCompanions Inc., its technology, website, mobile application, and services.
• User

  Any individual or entity that accesses or uses the Services.
• Pet Owner

  A User who books pet care services through the Platform.
• Service Provider / Vendor

  A User who offers pet care services through the Platform.
• Services

  Pet care services including grooming, boarding, training, walking, and related offerings booked through the Platform.

3. User Accounts & Eligibility

• You must be at least 18 years old to create an account and use our Services.
• You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of this information.
• You are solely responsible for safeguarding your account credentials and for all activities that occur under your account.
• You may not create multiple accounts, impersonate any person or entity, or transfer your account to another party.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Services Overview

PetsNCompanions operates as a technology platform connecting Pet Owners with independent Service Providers. We do not employ Service Providers nor directly provide pet care services.

Service Provider Responsibilities

• Deliver Services with reasonable skill, care, and professionalism
• Maintain all necessary licenses, permits, and insurance
• Ensure a safe, clean, and appropriate environment for pets
• Accurately represent services, availability, and pricing
• Respond promptly to Pet Owner inquiries and booking requests

Pet Owner Responsibilities

• Provide accurate information about your pet's needs, health, and behavior
• Ensure your pet is appropriately vaccinated and healthy for services
• Communicate special requirements or concerns to Service Providers
• Respect booked appointment times and cancellation policies

5. Financial Terms

All financial transactions on PetsNCompanions are processed in Kenyan Shillings (KES).

Fees and Payments

• Service Fees: We charge Service Providers a commission of 15% on each completed booking.
• Payment Processing: All payments must be processed through the Platform using our secure payment gateway.
• Payouts: Service Provider earnings are typically processed within 3-5 business days after service completion.
• Refunds: Governed by the Service Provider's cancellation policy. Service fees are refundable only if the total booking amount is refunded.

Taxes

Service Providers are solely responsible for determining and fulfilling their tax obligations. PetsNCompanions does not withhold taxes from payouts unless required by applicable law.

6. User Conduct & Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any unlawful purpose or in violation of any applicable laws
• Harassing, abusing, or harming another person or animal
• Attempting to circumvent our payment system or fee structure
• Uploading or transmitting viruses or any malicious code
• Impersonating any person or entity, or falsifying information
• Interfering with the proper functioning of the Platform
• Collecting or harvesting any information about other users

7. Limitation of Liability

To the maximum extent permitted by law, PetsNCompanions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall PetsNCompanions' aggregate liability for all claims relating to the Services exceed the greater of KES 5,000 or the amount you paid us, if any, in the past six months.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by PetsNCompanions and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

• Your computer may temporarily store copies of materials in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your Web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages for your own personal, non-commercial use

By uploading content to the Platform, you grant PetsNCompanions a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services or delete your account through your account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
